Unified Master Services, Participation, Privacy, Telehealth, Portal, Billing & RCM Agreement

Legal Entity: MedHub Clinics, LLC (“MedHub,” “we,” “our,” or “us”).
“You,” “user,” or “patient” means the individual receiving services or their parent/legal guardian.
“Provider” means a licensed clinician or health professional working with MedHub.
⚠️ Important: Please read this Agreement carefully. By creating an account, booking or attending a visit (telehealth or in-person), using our website or patient portal, or electronically signing, you agree to all sections of this Agreement. MedHub is committed to high-quality care but cannot guarantee specific outcomes. For emergencies, call 911 or go to the nearest emergency department.
1. Key Definitions
- PHI: Protected Health Information, governed by HIPAA and applicable state laws.
- Portal: MedHub’s website, patient portal, applications, messaging, and related tools.
- Workforce: MedHub or Provider employees, contractors, trainees, or agents under direct control.
- Covered Entity/Business Associate: As defined by HIPAA; MedHub may act as either depending on service.
- RCM: Revenue Cycle Management (eligibility, coding guidance, claims submission, payment posting, denials, refunds/recoupments, patient billing, collections).
- Trusted Partner Requestor: A verified third party (e.g., life/disability carrier, workers’ compensation, legal requestor) submitting a HIPAA-compliant authorization.
2. Scope of Services & Relationship
- MedHub provides technology platforms, administrative support, and billing/RCM services.
- Medical care is delivered by licensed Providers. Providers are solely responsible for diagnosis, treatment, and clinical judgment.
- MedHub does not practice medicine and does not guarantee outcomes.
3. Telehealth Consent & Participation
Telehealth may include live video/audio, store-and-forward, remote monitoring, provider-to-provider consults, and secure messaging.
- Benefits: Convenience and access to care.
- Risks: Possible technical failures, incomplete data, or limited physical examination.
- Location: You must disclose your physical location at each telehealth visit. MedHub clinicians may only treat you if licensed in that state.
- Consent: You authorize evaluation, diagnosis, treatment, test orders, referrals, care coordination, and prescribing of non-DEA-controlled medications. Consent may be withdrawn, but doing so may limit our ability to provide care.
- Your Responsibilities:
- Provide truthful health and insurance information.
- Use a secure, private location with adequate connectivity.
- Follow provider instructions and seek emergency care when advised.
- Protect your devices and account credentials.
- Pay all amounts due.
4. Authorization for Medical Records Exchange & Release
- MedHub may use and share PHI for Treatment, Payment, and Health Care Operations in compliance with HIPAA.
- Requests from Trusted Partner Requestors require a valid patient authorization.
- Disclosures follow the Minimum Necessary Rule.
- MedHub applies industry-standard security safeguards.
- Reasonable cost-based fees may apply for patient-directed copies or special requests.
5. Privacy (HIPAA Notice of Practices – Summary)
MedHub protects PHI as required by law. We may use/disclose PHI without authorization for: treatment, payment, operations, health oversight, public health, law enforcement, workers’ compensation, coroner/funeral services, organ donation, research (with IRB approval), and government functions.
Your Rights:
- Access and request copies of PHI.
- Request corrections to inaccurate records.
- Request restrictions (including self-pay restrictions).
- Request confidential communications.
- Request an accounting of certain disclosures.
- File complaints with MedHub or HHS OCR without retaliation.

6. Patient Portal Terms of Service
- Eligibility: Must be 18+ or a parent/guardian for minors.
- Use: No unlawful activity, malware, credential sharing, or security bypassing.
- Communications: You consent to email, SMS, phone, and portal messages about your care. (Standard carrier rates apply.)
- Third Parties: MedHub is not responsible for third-party links or vendors.
- Disclaimer: Portal provided “AS IS/AS AVAILABLE.” Access may be interrupted or contain errors.
- Liability Cap: Limited to the amount paid to MedHub for the service in question during the last 3 months.
- Indemnification: You agree to hold MedHub harmless from misuse or violations of law.
- Termination: Access may be suspended for violations, fraud, or non-payment.
7. Financial Terms & Billing
- You agree to pay copays, deductibles, coinsurance, and non-covered services.
- Self-pay/do-not-bill requests must be made before the visit.
- Out-of-network services may result in full patient responsibility.
- Refunds: Professional services are non-refundable. Timely-cancelled prepayments may be refunded.
- Collections: Overdue balances may be sent to collections, with permitted costs added.
8. Cancellation & No-Show Policy
- Cancel/reschedule ≥24 hours before appointment: No fee.
- Late cancellation/no-show (<24 hours): $25 fee.
9. Non-Discrimination & Accessibility
MedHub does not discriminate based on any protected category. We provide free aids/services for patients with disabilities or limited English proficiency (interpreters, accessible formats).
10. Patient Rights & Responsibilities
Rights: Respectful care, privacy, informed decisions, access to records, and voicing concerns without retaliation.
Responsibilities: Provide accurate info, follow treatment plans, update insurance/contact details, respect staff, use the portal responsibly, and call 911 for emergencies.
11. Technology & Security
MedHub uses industry safeguards (encryption, audit logs, access controls). No system is 100% secure—patients must also secure their devices and accounts.
12. Revenue Cycle Management (RCM)
If MedHub provides RCM/billing:
- Providers must use MedHub exclusively for covered billing services.
- Claims are submitted by MedHub; payments routed per MedHub’s instructions.
- Providers are responsible for documentation and coding accuracy.
- Fees may be based on a percentage of collections or minimums.
- Denials/appeals pursued as reasonable, but not guaranteed.
- Services may continue for up to 6 months post-termination for billing wind-down.
13. General Legal Terms
- Limitation of Liability: Liability capped at amounts paid for the service in the 3 months prior. No liability for indirect or punitive damages.
- Indemnification: Users, Providers, or partners agree to indemnify MedHub against misuse, malpractice, or breaches.
- Governing Law: Maryland law applies. Venue is in Maryland courts.
- Jury Waiver: Jury trial rights waived where permitted.
- Force Majeure: No liability for delays outside reasonable control.
- Assignment: MedHub may assign rights; users may not without consent.
- Severability: Invalid terms do not affect the rest.
- Entire Agreement: This document supersedes prior agreements.
